Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of websites, products, and services operated by Tarkle, Inc. ("Tarkle", "we", "us", or "our"), including but not limited to Tarkle.com, Renlar, Bripes, Sharebrand, RevenuePage, Stulink.io, and Cergle (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not use the Service.

Some products may have additional terms or policies ("Product Terms"). If there is a conflict between these Terms and any Product Terms, the Product Terms will govern for that specific product.

2. The Service

Tarkle operates a portfolio of software products and services, including subscription software, white-label tools, and creative services.

We may modify, suspend, or discontinue any part of the Service at any time, including features or availability, with or without notice, where permitted by law.

3. Accounts and Eligibility

To use certain parts of the Service, you may need to create an account and provide accurate, current information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

We may suspend or terminate your account if we believe you have violated these Terms or any applicable law.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You may not use the Service to:

• Engage in fraud, deception, impersonation, or other illegal activity
• Distribute malware, viruses, or other harmful code
• Share or host content that is unlawful, defamatory, harassing, or hateful
• Share or host pornography, sexually explicit content, or exploitative material
• Infringe or violate someone else's intellectual property or other rights
• Send spam, unsolicited bulk messages, or perform abusive automation
• Attempt to interfere with or disrupt the Service, its infrastructure, or other users
• Circumvent usage limits, plan restrictions, or security measures

For link, file, or content-based products (such as Stulink.io, Sharebrand, or file delivery features), you are responsible for the content and destinations you create, upload, link to, or share.

We reserve the right to remove content, restrict access, or suspend accounts that we reasonably believe violate these Terms or pose a risk to the Service or other users.

5. Subscriptions, Billing, and Refunds

Some parts of the Service are offered as paid subscriptions or one-time purchases.

• Pricing and plans: Pricing, plan details, and billing cycles are described on the relevant product websites.
• Billing: By starting a paid subscription, you authorize us (and our third-party payment processors) to charge your payment method on a recurring basis until you cancel.
• Refunds: Refund eligibility, if any, is described on the applicable product site or in Product Terms. Unless stated otherwise, all fees are non-refundable.
• Taxes: You are responsible for all applicable taxes, duties, and charges, except for taxes based on our net income.

We may change prices or plan features from time to time. Changes will apply at the start of your next billing period unless otherwise stated.

6. Intellectual Property

The Service and its original content, features, and functionality, including software, text, design, and branding, are owned by Tarkle or its licensors and are protected by intellectual property laws.

Subject to these Terms and any applicable Product Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer or attempt to extract source code, except as permitted by law
• Remove or alter any copyright, trademark, or proprietary notices

You retain any rights you hold in content you upload or provide through the Service. By submitting content, you grant us a non-exclusive, worldwide license to use, host, and process that content as necessary to operate and improve the Service and as otherwise agreed in a specific product or contract.

7. Third-Party Services

Some parts of the Service may integrate with or rely on third-party services (for example, payment processors, analytics, or integrations). Tarkle is not responsible for third-party services, and your use of them may be subject to additional terms and privacy policies from those third parties.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that any data or content will be accurate, complete, or available at all times.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TARKLE, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) AMOUNTS YOU HAVE PAID TO TARKLE FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY DOLLARS (US $50.00).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tarkle and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms or any applicable Product Terms
• Your violation of any law or third-party rights

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law rules.

Any disputes arising under or in connection with these Terms or the Service shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts, where permitted by law.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Changes are effective when posted on Tarkle.com or the relevant product site.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
