Affiliate Program Terms

These terms (“Affiliate Terms”) are an agreement between you (“Affiliate,” “you”) and Cloudbrand Technologies, Inc., doing business as Tarkle (“Tarkle,” “we,” “us”). They form part of the Tarkle Terms of Service (https://tarkle.com/terms). If they conflict with the Terms on an affiliate matter, these Affiliate Terms apply. You accept them when you apply to the program, or when you use an affiliate link after we approve you.

The Tarkle Affiliate Program pays commissions when people you send to Tarkle become paying customers. It is for creators, educators, publishers, communities, and businesses that recommend Tarkle to an audience.

It is separate from Refer a Friend, which rewards storage and has its own terms (https://tarkle.com/referral-terms), and from Reseller plans, which are governed by the Reseller Addendum (https://tarkle.com/reseller-addendum). A customer can be credited to one program only.

• Affiliate Link: the tracking link or code we give you.
• Attribution Window: 45 days from the click on your Affiliate Link. Our tracking cookie lasts 45 days.
• Referred Customer: a new Tarkle Account that signs up through your Affiliate Link within the Attribution Window and is credited to you.
• Qualifying Payment: a payment we actually receive from a Referred Customer for an eligible paid plan or add-on on tarkle.com.
• Net Revenue: the Qualifying Payment, less taxes, payment fees, refunds, chargebacks, credits, and discounts.
• Commission: the amount you earn, calculated from Net Revenue under the Program Rules.
• Program Rules: the program details shown on your affiliate dashboard, such as brand materials, approved promotions, and any special offers. They form part of these Affiliate Terms. The rates and payout rules in these Affiliate Terms apply unless the Program Rules give you better terms.

• You must apply. We may approve or decline any application, without giving a reason.
• You must be at least 18, able to form a binding contract, and not in a sanctioned region or on a sanctions list.
• Employees and contractors of Cloudbrand Technologies, Inc. cannot join.
• You must give accurate information about yourself, your business, and how you plan to promote Tarkle, and keep it up to date.
• You must have a Tarkle Account. Your affiliate account is tied to it.

• A Referred Customer is credited to you when they click your Affiliate Link and create a new Tarkle Account within 45 days. If they leave and come back within 45 days, the cookie still credits you. After 45 days, it does not.
• The last eligible Affiliate Link clicked before signup gets the credit.
• An email address that has ever had a Tarkle Account does not count.
• We pay only for customers our system tracked automatically. We cannot credit a customer who says you referred them if the system did not record it.
• Our tracking records are final, except for clear calculation errors that you show us under Section 7.
• If a person already talked to our sales team before clicking your link, we may give the credit to that sales process instead.

You earn 20% of Net Revenue from each Referred Customer. There is no limit on how much you can earn, or on how many customers you can refer.

• For as long as they stay. Commission continues through renewals, upgrades, and plan changes, with no end date. It stops when the customer cancels or stops paying. If they start paying again within 90 days, without coming through another affiliate's link, it resumes.
• First payment. Commission is earned only once the customer makes their first payment. Free plans and trials earn nothing.
• Your rate is locked per customer. The rate in effect when a customer signs up applies for as long as that customer stays, even if we change the rate for new customers later.
• Not commissionable: yourself, including your own accounts and workspaces, and those of your employer, employees, contractors, household, or any business you own or control; Storage Rewards from Refer a Friend; Reseller and Reseller Pro plans; payments refunded, charged back, disputed, or not collected; and taxes.
• Commission is a fee for marketing services. It is not a share of Tarkle's business or an investment.

• Hold period. Each Commission is held for at least 45 days after the payment it comes from. It becomes payable only if the payment has not been refunded, charged back, or disputed by then.
• Payout date. We pay payable Commissions once a month, on or around the 16th, in US dollars.
• Payout methods and minimum. We pay through PayPal or Wise, once your available Commission reaches $50. Amounts below $50 carry over to the next month. Payouts are made by our team, so they are not instant.
• Clawback. If a payment is refunded, charged back, or disputed after its Commission was paid, we may deduct that Commission from future payouts or ask you to repay it. We will do this only within 120 days of the payment, the usual card dispute window, unless the Commission came from fraud or a breach of these terms.
• Fees and currency. Fees charged by your payout provider or bank, and currency conversion, are your responsibility.
• Taxes. You must give us a valid tax form before your first payout: a W-9 if you are a US person, or a W-8 form if you are not. We may withhold payment until we have it, and we will withhold tax where the law requires. You are responsible for your own taxes. In the US, we file a Form 1099-NEC if what we pay you in a year reaches the IRS threshold ($2,000 for payments made in 2026).
• Unclaimed amounts. If we cannot pay you for 12 months because your payout details are missing or invalid, after we have tried to contact you, we may cancel the unpaid amount, as far as the law allows.

Your dashboard shows clicks, signups, Qualifying Payments, and Commission. If you think a statement is wrong, tell us within 60 days of the statement date, with the details. If you have a question for Tarkle, log in to your Tarkle account and submit a request from the support option. If you do not have an account, contact us through the live chat on tarkle.com. After 60 days, the statement is final.

You must:

• Disclose the relationship clearly and conspicuously, every time, next to the link or the claim. In video and audio, say it out loud as well as in the description. Use plain words such as “Paid link,” “Ad,” or “I earn a commission if you buy.” The words “affiliate link” on their own, or a disclosure hidden behind “more,” are not enough. This follows the US Federal Trade Commission's Endorsement Guides.
• Say only what is true, and only what you have tried or can back up. Use current features and prices from tarkle.com.
• Follow the laws on advertising, consumer protection, email marketing, privacy, and the rules of every platform you use.

You must not:

• Bid on “Tarkle,” “tarkle.com,” “Tarkle Workspace,” or misspellings or variations of them, as keywords on any search engine or social platform, without our written consent. This includes our name plus another word, such as “Tarkle coupon,” “Tarkle promo,” or “Tarkle review.”
• Use tarkle.com as a display URL, or outrank our own paid search ads on any keyword
• Advertise a promotion that is not a current, valid Tarkle promotion
• Register domains, social handles, or app names that contain “Tarkle” or something confusingly similar
• Pretend to be Tarkle, or imply that we sponsor or endorse you beyond this program
• Send spam, buy email lists, or message people who have not agreed to hear from you
• Use coupon, deal, cashback, loyalty, or incentive sites, or pay or reward people for signing up, unless the Program Rules allow it
• Use cookie stuffing, forced clicks, pop-ups, adware, browser extensions, bots, or any method that sets a tracking cookie without a real click
• Promote Tarkle next to illegal content, or content that breaks Section 9 of the Terms

We may review your promotions and ask you to change or remove them. You must comply within 5 business days, or within 24 hours for anything unlawful or misleading.

While you are an approved affiliate, we give you a limited, non-exclusive, revocable license to use the Tarkle name, logo, and the materials on your dashboard, only to promote Tarkle under these terms. Use them as provided. Do not change them. All goodwill belongs to us. The license ends when you leave the program.

• We share only what you need: clicks, signups, Qualifying Payments, and Commission. Referred Customers appear as masked records. We never share their files, workspace content, or full contact details.
• You and we each control the personal data we collect. You must have a lawful basis, and any notice your audience needs, for the data you collect and for setting our tracking link.
• The Privacy Policy (https://tarkle.com/privacy) covers how we handle data about affiliates and Referred Customers.

You are an independent contractor. You are not our employee, agent, partner, or reseller. You cannot make promises or contracts for us, or accept payment on our behalf. You decide how you work, within these terms.

Non-public information we share with you, including unreleased features, Program Rules that are not public, and performance data, is confidential. Use it only for this program, and do not share it.

We may change these Affiliate Terms or the Program Rules. We will give at least 30 days' notice by email of any change to Commission rates, payout rules, or the Attribution Window. A change never reduces Commission already earned, and a lower rate applies only to customers who sign up after the change takes effect. Customers you referred earlier keep earning at their locked rate. If you do not accept a change, you can leave the program. If you continue after the notice period, you accept it.

• Either party may end your participation at any time, with notice.
• If we end it for breach, fraud, or abuse, unpaid Commission linked to that conduct is cancelled, and we may recover amounts already paid for it.
• Otherwise, Commission earned up to the end date is paid on the normal schedule, after the hold period. No Commission is earned on payments made after the end date.
• Sections 6 (for amounts due), 7, 10, 11, 12, 15, 16, and 17 survive.

The program and our tracking are provided “as is.” We do not promise any level of earnings, or that tracking will never fail.

You will defend and indemnify Cloudbrand Technologies, Inc. against claims arising from your promotions, your breach of these terms, or your violation of law, including advertising, endorsement, email, and privacy laws.

To the extent the law allows, our total liability under these Affiliate Terms is limited to the Commission paid or payable to you in the 12 months before the claim. Neither party is liable for indirect, incidental, special, or consequential damages, or lost profits.

These Affiliate Terms are governed by the laws of the State of Wyoming. Disputes are resolved under Section 24 of the Terms, including its 60-day informal resolution step, binding individual arbitration, class action waiver, and jury trial waiver. You join this program as a business, so the consumer exception in Section 24.12 does not apply to claims under these Affiliate Terms.
